In 2010 the United States Securities and Exchange Commission (“SEC”) adopted amendments to the Registered Investment Advisor (“RIA”) disclosure document, ADV Part II. This disclosure document, now called the “Firm Brochure” or Form ADV Part 2A, provides extensive information about the RIA, their business practices and services provided. It is materially different in structure and requires certain new information that the previous disclosure document did not require.
As with the previous disclosure document, we must deliver the new brochure to prospective clients. What is new is the requirement to also deliver the brochure (or a summary of material changes to the brochure along with an offer to provide a complete copy of the updated brochure upon request) to clients on an annual basis; with the old Form ADV Part II, we only had to “offer” to deliver the brochure to clients annually.
ADV Part 2B is called the “brochure supplement” and includes information about the specific individuals, acting on behalf of the investment adviser, who actually provide the investment advice and interact with the client.
